Terms of Service

These terms govern your use of the Drawbridge website and service, provided by [TODO: legal entity name] (“Drawbridge,” “we,” “us”). By using the website or service, you agree to them.

The service

Drawbridge is a payment workflow tool for construction subcontractors. It connects to your QuickBooks account with your authorization, monitors overdue invoices, helps identify why payment is delayed, drafts follow-up messages for your approval, tracks mechanics-lien deadlines, and assembles documents into a packet for your attorney or lien service to review.

Not a law firm; no legal advice

Drawbridge is not a law firm and does not provide legal advice. Using the service does not create an attorney-client relationship. Deadline tracking, drafts, and document packets are workflow and preparation support only. You are responsible for having a qualified attorney review any notice, lien, or legal step before it is taken. Drawbridge does not file liens or other legal instruments.

Your approval and responsibilities

  • Nothing is sent on your behalf without your approval, and you are responsible for the messages and documents you approve.
  • You are responsible for the accuracy and completeness of the information and documents you provide.
  • You must have the right to connect the QuickBooks account and share the project information you give us.

No guarantee of payment

Drawbridge does not guarantee that any invoice will be paid, paid in full, or paid by any date, or that any deadline calculation is free from error. Results depend on facts outside our control, including the conduct of general contractors, owners, and lenders.

Fees

Fees are contingency-based and are set in a separate written agreement with you before any work starts. That agreement controls the rate, what counts as a recovered amount, and when fees are due. Where it conflicts with these terms on fees, the written agreement governs.

Availability

The service is currently available to subcontractors working on private projects in Massachusetts. We may expand to other states once their deadline rules have been verified by an attorney. We may change, suspend, or discontinue features at any time.

Your data

You keep ownership of your data. Our Privacy Policy explains how we collect, use, and protect it.

Acceptable use

Do not use Drawbridge to send false, harassing, or misleading communications, to violate any law, or to interfere with the service or other users.

Disclaimers and limitation of liability

The service is provided “as is” and “as available.” To the fullest extent permitted by law, Drawbridge disclaims all implied warranties and is not liable for indirect, incidental, or consequential damages, or for lost rights or remedies resulting from a missed deadline. [TODO: liability cap and remaining limitation terms.]

Termination

You can stop using the service and disconnect QuickBooks at any time. We may suspend or end access if these terms are violated. Fees earned under your written agreement before termination remain payable.

Governing law

[TODO: governing law, venue, and dispute resolution.]

Changes to these terms

We may update these terms. When we do, we will change the “Last updated” date above and, for material changes, notify customers directly.
